Undervid Terms of Service
Last updated: 2026-10-01
1. Agreement
These Terms govern your use of Undervid: the macOS application, the
local MCP connector that ships inside it (including its live meeting
transcript command), the optional Zoom RTMS relay, the website at
undervid.rackmind.ai, and any related service we provide
(together, the "Service").
By using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind it, and "you" means that organization.
The Service is provided free of charge. There is no account to create, no subscription to start, and no payment to make: Undervid operates no billing system and no payment processor. Nothing in these Terms creates a payment obligation.
The Undervid software is separately licensed under the
Business Source License 1.1 in LICENSE. These Terms govern
the service. Where the two overlap,
LICENSE controls your rights in the software itself and
these Terms control your rights in the Service.
Our handling of data is described in
PRIVACY.md, which forms part of these Terms.
2. What the Service does
Undervid records a screen and audio session on your machine, transcribes it, identifies candidate moments where spoken feedback refers to something visible on screen, and lets you export a reviewed implementation brief for a coding agent.
Undervid is local-first. Media stays on your device unless you take a
specific action that sends a specific payload, as described in
PRIVACY.md §4 to §7. Analysis uses
your own API key for Anthropic, Google Gemini or OpenAI and goes from
your Mac straight to that provider, under your own account with them.
Speaker-labelled transcription and connected Zoom capture go through
Undervid's own relay.
PRIVACY.md §10 names every party.
2.1 What the Service explicitly does not warrant
Read this section carefully. It is the honest description of what an evidence-grounded AI system can and cannot promise.
- AI output is a proposal, not an answer. Every analysis result, grounded proposal, meeting summary, and implementation brief Undervid produces is a draft for human review. It is never authoritative, never a decision, and never a substitute for your own judgement.
- We do not warrant accuracy. Transcripts may mis-hear speech. Evidence selection may pick the wrong frame or miss the right one. Analysis may misread a screenshot, misattribute a request, or produce a confident description of a change nobody asked for. Model output can be wrong in ways that read as plausible.
- You must review before you act. Do not merge code, ship a change, bill a client, make a contractual commitment, or take any other consequential action on Undervid output without a human reviewing the underlying evidence — the cited frames and the transcript — for yourself. Undervid deliberately keeps a model proposal distinct from a human-selected handoff so that this review is possible; using the Service in a way that skips it is your risk.
- Not a system of record. Undervid is not a compliance archive, a legal record of what was agreed on a call, an evidentiary recording system, or a backup service. Do not rely on it as the only copy of anything that matters.
- The relay is staging, not storage. Zoom RTMS relay sessions are deleted after the retention window (24 hours by default). Data that is not synced to your device within that window is gone.
- No availability guarantee. Unless we have signed a separate written service-level agreement with you, the Service is provided without an uptime commitment. Analysis depends on the provider whose key you use (Anthropic, Google or OpenAI), and connected Zoom capture, the live transcript and speaker-labelled transcription depend on Undervid's own relay and on third parties (Zoom, Railway, ElevenLabs) whose outages we do not control.
- No professional advice. Nothing Undervid produces is legal, financial, medical, or other professional advice.
Some features are explicitly in development — see
docs/platform-parity.md. We do not represent an
in-development capability as shipped.
3. Acceptable use
You may not, and may not permit anyone else to:
- Use the Service to record, transcribe, or analyze a conversation you do not have the lawful right and the participants' consent to record (see §4).
- Use the Service for covert surveillance, stalking, harassment, or monitoring a person without their knowledge; or to monitor employees in a manner not disclosed to them and not permitted by applicable employment and privacy law.
- Use the Service to capture material you have no right to capture, or to infringe anyone's intellectual property, privacy, or confidentiality rights.
- Use meeting audio captured through the Service to train, clone, or synthesize a person's voice or likeness without that person's explicit, informed, documented consent.
-
Offer the Service, or a derivative of the software, to third parties
as a hosted, managed, embedded, or resold service — the Business
Source License 1.1 in
LICENSEdoes not grant this. - Circumvent rate limits, the daily spend ceilings on the hosted analysis routes, retention controls, authentication, or the ownership scoping on relay sessions; or access another user's sessions, artifacts, or credentials.
- Reverse engineer, decompile, or attempt to extract source code from the Service except to the extent the Business Source License 1.1 or non-waivable law permits it.
-
Share a
uv1_device credential with anyone else, or use one issued to another person. - Use the Service to build a competing product by systematically extracting its outputs, prompts, or evaluation data.
-
Interfere with the Service's operation, probe it for
vulnerabilities outside the disclosure process in
SECURITY.md, or use it to transmit malware. - Use the Service where doing so would violate applicable export control or sanctions law.
You are responsible for everything done with a device credential issued to you. We may revoke a credential immediately, without notice, where continued use presents a legal risk, a security risk, or a risk to other users — and we will tell you why as soon as we reasonably can.
4. Recording consent — your obligation
This is the most important obligation in these Terms.
Undervid records other people. Recording a conversation without the required consent is unlawful in many places, and in some jurisdictions it is a criminal offence.
You agree that, for every session you record:
- You will obtain informed consent from every participant before recording begins — not just from the host, and not by silence.
- You will comply with all-party ("two-party") consent law where it applies. Many jurisdictions — including a number of US states such as California, Illinois, Florida, Pennsylvania, and Washington, and many countries outside the US — require the consent of every party to the conversation, and a participant may be in a different jurisdiction than you. You are responsible for identifying and satisfying the strictest applicable rule.
- You will comply with applicable data-protection law (including the GDPR, UK GDPR, and CCPA/CPRA where they apply) in respect of the personal data you capture, including having a lawful basis, giving notice, and honouring participants' rights.
- You will honour withdrawal. If a participant objects, you will stop recording; if they ask for deletion, you will delete the session and any relay copy.
-
You will not send another person's meeting content to an
analysis provider, to Undervid's relay, or to the providers
behind it
(your own Anthropic, Google or OpenAI account per
PRIVACY.md§5 and §7, or Undervid's relay and ElevenLabs perPRIVACY.md§4) unless you have a lawful basis to do so. - For connected Zoom capture, you will ensure the Zoom account is configured so that Zoom's own participant disclosure is presented, and you will not attempt to suppress or work around it.
Undervid does not and cannot verify consent on your behalf. The Service will record when you tell it to. Enabling a feature is not consent, and a UI reminder is not a legal defence. You indemnify us for claims arising from your failure to meet this section, as set out in §8.
5. Intellectual property
Your content is yours. You retain all rights in your recordings, audio, transcripts, screen frames, evidence bundles, generated briefs and summaries, and any exports the Service produces from your sessions ("Your Content"). We claim no ownership in Your Content and acquire no licence to it beyond what is strictly necessary to provide the Service at your direction, for example delivering a Zoom meeting to your Mac through the relay.
Because Undervid is local-first, in ordinary use we do not hold Your
Content at all. Where we do hold it transiently (relay staging under
PRIVACY.md §6), we hold it as your
processor, for the retention window, for the purpose of delivering it to
your device.
We do not train models on Your Content.
Our software is ours. Undervid and its licensors own
the Service, the software, its design, its prompts, its evaluation
harness, and all associated intellectual property. Your rights in the
software are exactly those granted by the Business Source License 1.1 in
LICENSE; your rights in the Service are exactly those
granted by these Terms. No other rights are granted by implication.
Undervid's name and logo are ours and are not licensed to you.
Third-party components. The Service includes third-party software and depends on third-party services, each under its own terms.
Feedback. If you send us suggestions or feedback about the Service, you grant us a perpetual, worldwide, royalty-free licence to use it to improve the Service. We will not identify you as its source without your permission. This does not give us any rights in Your Content.
6. Third-party services
The Service can interoperate with Zoom, Anthropic, Google Gemini, OpenAI, ElevenLabs, Railway (which hosts Undervid's own relay), Cloudflare (which hosts the website and the download), and coding agents you connect over MCP, such as Claude Code and Codex. Connecting a coding agent adds Undervid to that agent's configuration on your Mac. Your use of each is subject to that provider's own terms and privacy policy, including billing for any API key you use, and you are responsible for having the right to send them what you send. We are not responsible for a third party's acts, omissions, availability, output, or data handling. There is no payment processor in this list because there are no payments.
7. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE", without warranty of any kind. We disclaim all warranties and conditions, express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.
Without limiting §2.1: we do not warrant that the Service will be uninterrupted, error-free, or secure against every attack; that transcription, evidence selection, or analysis will be accurate, complete, or fit for any decision you make; or that the Service will meet any legal, regulatory, or compliance requirement applicable to you.
Some jurisdictions do not allow the exclusion of certain warranties or of implied consumer guarantees. To that extent, this section does not apply to you and you retain those rights.
8. Limitation of liability and indemnity
Excluded damages. To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or loss or corruption of data, arising out of or relating to the Service — even if advised of the possibility.
Cap. The Service is provided free of charge, so to the maximum extent permitted by law Undervid's total aggregate liability arising out of or relating to these Terms or the Service will not exceed one hundred (100) US dollars. If Undervid ever charges for the Service, this cap must be rewritten in the same change that introduces the charge.
Specifically excluded. Undervid is not liable for: any decision, code change, deployment, communication, or commitment you made in reliance on Undervid output without human review; loss of a recording, transcript, or export, including a relay session deleted at the end of its retention window; or any consequence of your failure to obtain recording consent under §5.
Not excluded. Nothing in these Terms limits liability that cannot lawfully be limited — including, where applicable, liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under non-waivable consumer-protection law.
Your indemnity. You will defend, indemnify, and hold harmless Undervid and its personnel from and against any third-party claim, demand, proceeding, loss, liability, damage, fine, penalty, and reasonable legal cost arising out of or relating to: (a) your recording, transcription, or analysis of a conversation without the required consent or lawful basis; (b) your breach of §3 or §4; (c) Your Content, including any claim that it infringes or misappropriates a third party's rights; or (d) your violation of applicable law in connection with the Service.
Allocation of risk. You acknowledge that §7 and §8 are a fundamental basis of the bargain, and that the Service is provided free of charge on that basis.
9. Term, suspension, and termination
Term. These Terms apply from your first use of the Service and continue while you use it.
Your termination. Stop using the Service at any time. Revoking the Zoom authorization and deleting the device credential ends every hosted flow immediately.
Our termination. We may suspend or terminate your access: immediately, for a material breach of §3 or §4, or where required by law; or otherwise on 30 days' notice.
Discontinuation. If we discontinue the Service or any hosted feature, we will give reasonable advance notice. Because the Service is free, no refund arises.
Effect of termination. Your licence to use the Service
ends. Your local data is unaffected — it is in your own
filesystem, and you keep your sessions, exports, and briefs. Any
relay-side data is deleted per the retention window in
PRIVACY.md §6, or sooner on request.
Sections 2.1, 5, 7, 8, 10, and 11 survive termination.
10. Governing law and disputes
These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The state and federal courts located in Texas have exclusive jurisdiction, and each party consents to venue there.
Before filing a claim, please contact us at krish@rackmind.ai and give us 30 days to try to resolve it informally.
Where you are a consumer, nothing in this section deprives you of the protection of the mandatory law of your country of residence, or of the right to bring proceedings in your local courts.
11. General
Changes to these Terms. We may update these Terms. We will publish a material change at least 30 days before it takes effect; continuing to use the Service after that date means you accept the change. If you do not accept it, stop using the Service before it takes effect.
Entire agreement. These Terms,
PRIVACY.md, and LICENSE are the entire agreement between us
regarding the Service, and supersede prior discussions. A separate
signed agreement with us prevails over these Terms to the extent it
conflicts.
No waiver. A failure to enforce a provision is not a waiver of it.
Severability. If a provision is held unenforceable, it is limited or severed to the minimum extent necessary and the rest remains in force.
Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party is liable for a delay or failure caused by an event beyond its reasonable control.
Notices. There are no accounts, so we give notice in the Service or on the Undervid website. Send notices to us at krish@rackmind.ai.
